By using https://shipthane.com or buying templates / hiring services from Shipthane, you agree to these terms. They're written in plain language and kept short on purpose.
1. What we provide
Custom software development, customization of pre-existing templates, and direct sale of source-code templates. Specific deliverables are always defined in a per-engagement SOW (statement of work) — these Terms cover everything around the SOW.
2. Templates: license + delivery
Template purchases are governed by the Template License (Standard, Extended, Agency). After purchase via Stripe Checkout, we deliver source-code repository access within 24 hours.
Refund policy:14 days, no questions asked. Email within the window and we'll refund the full purchase price and revoke repository access.
3. Services: SOW governs
Custom + customization engagements are governed by a signed SOW. The SOW always specifies: scope, fixed price, timeline, milestones, payment schedule, IP assignment, and acceptance criteria. If anything in these Terms conflicts with a signed SOW, the SOW wins.
4. Payments
- Templates: paid in full at checkout via Stripe.
- Engagements < $25K: 50% upfront, 50% on acceptance.
- Engagements ≥ $25K: milestone-based (typically 30/30/30/10).
- Fractional retainers: invoiced monthly in advance.
- All amounts in USD. Late payments accrue 1.5% / month after 30 days.
5. Intellectual property
Custom builds are work-for-hire. On final payment, all IP transfers to you — source code, designs, documentation, credentials. Templates remain subject to the License you purchased.
We retain the right to: (a) describe the project at a high level in case studies and marketing, unless you opt out in writing; (b) reuse general patterns and techniques (not your specific code) on other projects.
6. Confidentiality
Mutual NDA is signed on request, no charge. Even without an NDA, we treat your business information as confidential and don't publish client names, screenshots, or revenue figures without explicit written permission.
7. Warranties + liability
We warrant that work will be performed in a professional manner and the deliverables will conform to the SOW. No other warrantiesare expressed or implied — software is provided "as is".
Liability is capped at the total amount you paid for the engagement / template in question. We're not liable for indirect or consequential damages.
8. Termination
Either party can terminate an engagement with 14 days' written notice. On termination, you pay for completed work; we hand over what's done and don't bill for the remainder.
9. Governing law
These Terms are governed by [STATE TBD by founder, e.g. Delaware] law. Disputes resolved in [VENUE TBD] courts.
10. Changes
We may update these Terms. Material changes get email notice to active customers and a 30-day banner on the home page. Continued use after the effective date constitutes acceptance.
